Terms of Service
Mushlove Lab LLC · Operating under Wyoming Law · NAICS 541690 & 541711
These Terms of Service ("Terms") constitute a legally binding agreement between you or your corporate entity ("Client") and Mushlove Lab LLC ("Company," "we," "us"). By accessing mushlovelab.com or engaging our consulting services, you agree to these Terms.
1. Professional Advisory Nature
Mushlove Lab LLC operates as a scientific and operational consulting agency (NAICS 541690 and 541711). Our work includes feasibility diagnostics, fungal strain selection, mycoremediation design blueprints, and industrial composting layout planning. Individual consulting engagements are formalized through a dedicated written Statement of Work (SOW) or consulting agreement detailing deliverables, milestones, and fees.
2. Indicative Pricing & Scope Formalization
All pricing figures displayed on mushlovelab.com (including diagnostic reviews starting from $900) are indicative benchmarks based on typical project scopes. Binding quotes, milestone schedules, and payment terms are determined exclusively following a technical discovery evaluation and documented in an authorized proposal or SOW.
3. Biological Variables & Scientific Realism
Client acknowledges that biological systems, living fungal cultures, and microbial decomposition are influenced by site-specific environmental variables, including ambient humidity, regional temperature fluctuations, indigenous microbial competition, and substrate variability. While we apply rigorous microbial science and standard quality controls, living systems require empirical validation. We provide honest feasibility parameters upfront and recommend phased pilot validation prior to capital plant expansion.
4. Intellectual Property Allocations
- Pre-Existing Company IP: All proprietary knowledge, foundational microbial screening data, baseline substrate kinetic formulas, and operational templates developed by Mushlove Lab LLC prior to or independent of Client engagement remain the exclusive property of Mushlove Lab LLC.
- Client Materials: Client retains full ownership of all proprietary feedstock disclosures, site data, custom product geometry, and confidential trade secrets provided to us.
- Project Deliverables: Upon receipt of full payment, Client is granted a non-exclusive, perpetual license to utilize the specific technical reports, blueprints, and standard operating procedures generated under their paid Statement of Work.
5. Limitation of Liability
To the fullest extent permitted under Wyoming law, Mushlove Lab LLC and its members shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from the implementation of recommendations. In all cases, our total aggregate liability under any engagement shall not exceed the actual consulting fees paid by Client to Mushlove Lab LLC under the applicable Statement of Work.
6. Governing Law & Jurisdiction
These Terms and any dispute arising out of or related to our services shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to conflict of laws principles. The state courts located in Wyoming shall have exclusive jurisdiction.
Refund Policy
Clear, equitable terms for advisory retainers and phased pilot milestones
At Mushlove Lab LLC, we structure our consulting relationships around clear milestones, mutual accountability, and transparent deliverables. Because our practice provides custom scientific, biological, and engineering expertise, our refund policy reflects the committed nature of laboratory analysis and expert labor hours.
1. Entry Diagnostic Scopes (From $900)
Initial diagnostic scopes (such as preliminary feedstock reviews, desk-side feasibility assessments, and site evaluations) require upfront payment to secure research capacity.
- Prior to Work Initiation: If a Client cancels a diagnostic request in writing prior to our team initiating technical literature reviews or substrate calculations, a full refund less any standard merchant processing fees will be issued.
- After Delivery: Once technical review has commenced or the diagnostic findings report has been delivered, diagnostic fees are non-refundable.
2. Phased Mid-Tier & Premium Engagements
Extended consulting contracts ($2,500 to $8,000+) are divided into discrete, sequential milestones (e.g., Phase 1: Formulation & Kinetic Planning; Phase 2: Tooling & Mold Design; Phase 3: Pilot Batch Validation).
- Milestone Sign-Off: Payments associated with successfully completed milestones that have been reviewed and accepted by Client are non-refundable.
- Early Contract Termination: If either party terminates an engagement prior to the initiation of a subsequent scheduled milestone, any unearned retainer fees or uncommitted lab expenses allocated to future phases will be promptly refunded to Client within thirty (30) business days.
3. Biological Performance Caveat
In scientific consulting, a valid and rigorous feasibility assessment may conclude that a particular contaminated site is unsuitable for native fungal treatment or that a specific agricultural byproduct is economically non-viable for bio-composite production. Delivering a rigorous scientific conclusion that prevents a client from misallocating capital constitutes a completed consulting deliverable and does not warrant a fee refund.

1. Non-Pathogenic Saprophytic Strains
All fungal strains deployed in Mushlove Lab material development (such as Ganoderma and Pleurotus species) and composting inoculants are strictly non-pathogenic, non-parasitic saprophytes. We do not work with or deploy plant, animal, or human pathogens.
2. Mycoremediation Environmental Containment
Inocula for contaminated soil and water bio-piles are prepared using native or regionally naturalized fungal isolates wherever possible. All treatment sites must maintain proper physical barriers (impermeable liner base, runoff collection) during active pilot stages to prevent unmonitored leaching.
3. Industrial Composting Thermal Compliance
Our composting facility blueprints adhere strictly to EPA 503 rules and Process to Further Reduce Pathogens (PFRP). Aerated Static Pile (ASP) and windrow systems are engineered to sustain temperatures above 55°C (131°F) for required minimum durations, destroying weed seeds and harmful bacteria while promoting beneficial humic maturation.
4. Biological Audit Checklist
| Check | Standard | Verification Method |
|---|---|---|
| Strain Safety | Biosafety Level 1 (BSL-1) only | Taxonomic sequencing & culture indexing |
